1. Acceptance of Terms

By accessing our website or engaging BodhiStack Technologies ("we", "us", or "our") for any service, you agree to be bound by these Terms & Conditions and our Privacy Policy. If you do not agree, please do not use our website or services.

2. Our Services

We provide software development, web and mobile application development, SaaS development, UI/UX design, AI automation, cloud and DevOps, and related consulting services. The specific scope, deliverables, timeline, and fees for any engagement are defined in a separate proposal, statement of work, or written agreement.

3. Eligibility

You must be at least 18 years old and have the legal authority to enter into a binding agreement to use our services. If you engage us on behalf of an organisation, you represent that you are authorised to bind that organisation to these terms.

4. Proposals & Project Engagements

Quotes and proposals are valid for the period stated within them. A project engagement begins once a proposal or statement of work is accepted in writing and any required initial payment is received. Any changes to agreed scope may affect the timeline and cost and will be handled through a written change request.

5. Fees & Payment

Fees, payment schedules, and currency are set out in the applicable proposal or statement of work. Unless otherwise agreed:

• Invoices are due within the period stated on the invoice.
• Projects may require an upfront deposit before work begins.
• Milestone or recurring payments may apply for larger or ongoing engagements.
• Late payments may incur interest or result in suspension of work.

6. Intellectual Property

Unless otherwise agreed in writing, ownership of custom deliverables transfers to you upon full payment of all amounts due for the relevant work. We retain ownership of our pre-existing tools, libraries, frameworks, and know-how, and we may grant you a licence to use them as part of the deliverables. We may reference completed work in our portfolio unless you request otherwise in writing.

7. Your Responsibilities

To deliver successfully, we rely on your timely cooperation. You agree to:

• Provide accurate information, content, and access required for the project.
• Review deliverables and provide feedback within agreed timeframes.
• Ensure you hold the rights to any materials you provide to us.
• Designate a point of contact authorised to make project decisions.

8. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with an engagement, and to use it only for the purpose of performing under the agreement. This obligation survives the termination of the engagement.

9. Warranties & Disclaimers

Our website and services are provided "as is" and "as available" without warranties of any kind, whether express or implied, except as expressly stated in a signed agreement. We do not warrant that the website or services will be uninterrupted, error-free, or free of harmful components.

10. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business. Our total aggregate liability arising out of or related to an engagement shall not exceed the amount you paid us for the services giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless BodhiStack Technologies and its team from any claims, damages, liabilities, and expenses arising from your use of our services in breach of these terms or from content or materials you provide.

12. Term & Termination

Either party may terminate an engagement in accordance with the terms set out in the applicable agreement. Upon termination, you agree to pay for all work performed and approved up to the termination date. Sections relating to payment, intellectual property, confidentiality, and liability survive termination.

13. Third-Party Services

Our deliverables may rely on third-party platforms, APIs, libraries, or services. We are not responsible for the availability, performance, or terms of those third parties, and your use of them may be subject to their own agreements.

14. Governing Law

These terms are governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles. Any disputes shall be subject to the exclusive jurisdiction of the competent courts located in Uttar Pradesh, India.

15. Changes to These Terms

We may revise these Terms & Conditions from time to time. The updated version will be posted on this page with a new effective date, and your continued use of our website or services constitutes acceptance of the revised terms.
